Welcome to Tazzmar. This document, along with other policies referenced herein, constitutes a legally binding agreement ("the Agreement") governing your use of the Tazzmar platform and services. Accessing or using the website www.tazzmar.com in any way, whether as a seller, buyer, or simply a browser, signifies your full and unconditional agreement to be bound by all the terms and conditions contained in this Agreement.

Part One: Terms and Conditions for Using the Tazzmar Platform

1. Introduction and Definitions

1.1. Legally Binding Agreement

These terms and conditions, in addition to the Privacy Policy, Prohibited Products Policy, Intellectual Property Policy, and any other operating rules published on the platform from time to time, are an integral part of this legally binding agreement between you and the Tazzmar platform. Your continued use of the services after the posting of any changes to these terms constitutes your acceptance of those changes. If you do not agree with any part of this Agreement, you must immediately cease using the platform and its services.

1.2. Definition of Key Terms

For the purposes of this Agreement, the following terms shall have the meanings set forth below:

  • "The Platform" or "Tazzmar": Refers to the website www.tazzmar.com and its related applications, services, and tools operated by Tazzmar.
  • "User" or "You": Any natural or legal person who accesses or uses the platform, including sellers, buyers, and browsers.
  • "Seller": Every user who creates a seller account and lists products for sale on the platform.
  • "Buyer": Every user who purchases products through the platform.
  • "Services": All functions, features, and tools provided by Tazzmar through the platform, which enable users to display, sell, and purchase products.
  • "Content": Includes all texts, images, graphics, videos, descriptions, data, and any other materials posted or displayed on the platform by users or Tazzmar.

1.3. Tazzmar's Role as an Intermediary Platform

Tazzmar is an e-commerce platform that acts as an intermediary to connect independent sellers with buyers. It is important to emphasize that Tazzmar is not a party to any transaction between a seller and a buyer. We do not own, manufacture, store, inspect, or guarantee any of the products listed by sellers. Our responsibility is limited to providing the technological infrastructure to facilitate these transactions.

Accordingly, Tazzmar:

  • Is not responsible for the quality, safety, legality, or accuracy of the descriptions provided by sellers.
  • Does not guarantee the ability of sellers to sell products or the ability of buyers to pay for them.
  • Assumes no liability for any disputes that may arise between users.

All users use the platform and services at their own risk.

2. User and Seller Accounts

2.1. Eligibility and Registration Requirements

To register and use Tazzmar's services, users must meet the following conditions:

  • Age Eligibility: Users must be at least 18 years old to be legally qualified to enter into binding contracts.
  • Information Accuracy: Users are committed to providing true, accurate, and complete information during the registration process and to continuously update it to ensure it remains so. Providing any incorrect or misleading information may lead to the immediate suspension or termination of the account.
  • Account Types: The platform offers two types of accounts: a personal buyer account and a commercial seller account. Seller accounts are subject to additional verification requirements to ensure market reliability.

2.2. Seller Identity and Information Verification Requirements

Building a safe and reliable online marketplace requires verifying the identity of sellers. This process is not merely a formality but a cornerstone in combating fraud and counterfeit products, and it aligns with global best practices and emerging legislation aimed at increasing transparency in e-commerce. Therefore, Tazzmar reserves the right to request verification documents from all sellers as a condition for listing products on the platform.

  • Required Documents:
    • For Individual Sellers: A valid copy of a government-issued ID (such as an ID card or passport) and recent proof of address (such as a utility bill or bank statement not older than 180 days).
    • For Companies and Business Entities: A copy of the commercial register, tax number, identity of the company's legal representative, and proof of the official business address.
  • Verification Mechanism: Tazzmar may use specialized third-party services to verify the authenticity of the submitted documents and prevent fraud.
  • Compliance with Palestinian Law: In line with the requirements of the draft Palestinian E-Commerce Law, sellers registered in Palestine are obliged to provide all correct data for registration in the official e-commerce registry once it is established by the competent authorities. These terms will be updated to reflect any mandatory registration requirements imposed by the Palestinian authorities.

2.3. Account Security and User Responsibilities

Each user bears full responsibility for maintaining the confidentiality of their password and for all activities that occur through their account. It is strongly recommended to activate Two-Factor Authentication as an additional security measure to protect the account from unauthorized access. Users must notify Tazzmar immediately of any unauthorized use of their accounts or any other security breach.

2.4. Account Suspension and Termination Policy

Tazzmar reserves the right to suspend or terminate any user account at its sole discretion, without prior notice in severe cases, or with notice in other cases. This policy is the platform's primary enforcement tool to ensure a safe and orderly environment for all users.

  • Reasons for Suspension or Termination: Include, but are not limited to:
    • Violation of any provision of this Agreement or its associated policies.
    • Engaging in fraudulent, illegal, or deceptive activities.
    • Repeated infringement of third-party intellectual property rights.
    • Receiving consistently negative feedback or failing to meet seller performance standards (such as a high rate of shipping delays or order defects).
    • Failure to pay due fees to the platform on time.
    • Attempting to manipulate the platform or circumvent its policies.
  • Procedures Followed: In most cases, a notification will be sent to the user explaining the reason for the action and providing an opportunity to rectify the situation or file an appeal. However, in cases of serious violations that endanger the platform or its users, termination may be immediate.
  • Effects of Termination: Upon termination of a seller's account, all of their product listings will be removed. Tazzmar reserves the right to hold any funds due to the seller for a reasonable period (up to 90 days or more) to cover any refunds, disputes, or claims that may arise from the seller's previous transactions. This practice is necessary to protect buyers and the platform from potential losses.

3. Seller Obligations and Code of Conduct

3.1. Accuracy of Product Information and Prices

Sellers are fully responsible for the accuracy and completeness of all information provided in their product listings. The description must include clear and truthful details, and high-quality images that reflect the actual product. Providing any misleading or false information is strictly prohibited, as it is a direct violation of the platform's terms and applicable consumer protection laws. Sellers are also forbidden from including any external links or information intended to divert buyers to complete purchases outside the Tazzmar platform.

3.2. Fair Pricing Policy

Sellers must set their product prices in a fair and transparent manner. Engaging in unfair pricing practices, such as raising the price of a product after a transaction is completed, or charging unreasonably inflated shipping fees for additional profit, is strictly forbidden. Tazzmar adopts a strict fair pricing policy, and any violation may lead to the removal of the listing or suspension of the seller's account.

3.3. Inventory Management and Order Fulfillment

Sellers must ensure they have sufficient stock of the products they list for sale, or have a binding agreement with a third party for product supply (dropshipping). Inventory levels must be regularly updated to avoid selling out-of-stock items. Sellers are committed to shipping orders within the timeframe specified in the product listing ("handling time"). Adherence to shipping deadlines is a key performance metric for sellers on the platform. If using the dropshipping model, the seller must be the "seller of record" and assume full responsibility for the product and shipping.

3.4. Professional Communication with Buyers

All communication between sellers and buyers must be conducted through the official Tazzmar messaging system. This ensures a documented record of all communications, which can be used as a reference in case of a dispute. Using buyers' contact information (such as phone numbers or email addresses) for any purpose other than fulfilling the order is prohibited, and sending unsolicited marketing messages is strictly forbidden.

3.5. Compliance with Applicable Laws and Regulations

Sellers acknowledge and agree that they are responsible for complying with all local and international laws and regulations applicable to the sale of their products. This includes, but is not limited to, consumer protection laws, tax regulations, safety requirements, and import/export laws. As the platform serves markets in Palestine and Israel, sellers must specifically comply with the Palestinian Consumer Protection Law and the Israeli Consumer Protection Law.

4. Purchase and Payment Terms

4.1. The Purchase Process and Buyer's Commitment

When a buyer completes a purchase on the platform, they enter into a legally binding contract with the seller to purchase the relevant product. The buyer is obliged to pay the total transaction amount, including the product price, shipping costs, and any applicable taxes. The buyer is also obliged to provide accurate and complete shipping information to ensure successful delivery of the order.

4.2. Accepted Payment Methods and Payment Processing

  • Payment Methods: Tazzmar currently accepts Cash on Delivery, with plans to add electronic payment options such as credit and debit cards in the future.
  • Payment Processing: When electronic payment is activated, all transactions will be processed through a secure third-party payment gateway. Tazzmar will not store users' full credit card information on its servers, ensuring maximum security and compliance with Payment Card Industry Data Security Standards (PCI-DSS).
  • Disbursement to Sellers: Tazzmar acts as a payment collection agent on behalf of sellers. Payments will be collected from buyers and deposited into Tazzmar's account. After deducting the platform's commission and any other applicable fees, the net proceeds will be disbursed to the seller's approved bank account. Disbursements will be made on a regular schedule (e.g., every 14 days), and after successful delivery of the order is confirmed, to allow sufficient time to process any potential return requests or disputes.

4.3. Fees, Commissions, and Taxes

  • Fee Structure: Sellers agree to pay the applicable fees for using Tazzmar's services. The fee structure will be clearly outlined on our Commission Page and may include:
    • Referral Fee: A percentage of the product's total sale price.
    • Subscription Fees: Monthly or annual fees may be applied to sellers for using advanced features or accessing certain product categories.
  • Taxes: Sellers are fully responsible for determining, collecting, and remitting all applicable taxes on their sales (such as Value Added Tax) to the competent tax authorities. Tazzmar is not responsible for sellers' tax obligations but may provide tools to assist with tax calculations if necessary.

5. Shipping and Delivery

5.1. Shipping Responsibilities

The seller is fully responsible for securely packaging and shipping products to the buyer's address specified in the order details within the declared handling time.

  • Compliance with Palestinian Law: For deliveries within the Palestinian territories, sellers must use delivery channels licensed and approved by the Palestinian authorities, such as the Palestinian Post or licensed courier companies, in accordance with the requirements of the draft Palestinian E-Commerce Law.

5.2. Delivery Costs and Times

Sellers must clearly specify shipping costs and estimated delivery times in their product listings. Current shipping rates will be displayed as a default platform policy, but an option will be provided for sellers to set their own rates in the future, subject to platform review to prevent excessive charges.

5.3. Proof of Delivery and Handling Shipping Delays

  • Shipment Tracking: Sellers are required to provide valid tracking information for all shipments. This measure is essential to protect the seller from "item not received" claims and to enable the buyer to monitor their order's status.
  • Force Majeure: Neither Tazzmar nor the sellers shall be liable for any shipping delay resulting from circumstances beyond their reasonable control, such as severe weather conditions, security or health lockdowns, natural disasters, or labor strikes by shipping companies.

6. Tazzmar Buyer Protection Program and Return Policy

Tazzmar is committed to providing a safe and reliable shopping experience. Therefore, we offer the "Tazzmar Buyer Protection Program" to ensure buyers' rights are protected in cases where transactions do not go as expected.

6.1. Scope of Coverage

The Buyer Protection Program covers the following two main scenarios:

  1. Item Not Received (INR): If the buyer does not receive the product by the latest estimated delivery date, and the seller does not provide valid tracking proof showing delivery.
  2. Significantly Not as Described (SNAD): If the product received by the buyer is materially different from the description or photos in the listing. This includes receiving the wrong item, a damaged or defective item (not described as such), or a counterfeit product.

6.2. Seller-Buyer Dispute Resolution Mechanism

To ensure disputes are resolved efficiently and fairly, the following steps must be followed:

  • Step 1: Contact the Seller: The buyer must first attempt to resolve the issue directly with the seller through Tazzmar's official messaging system.
  • Step 2: Open a Dispute Case: If a satisfactory solution is not reached within 3 business days, the buyer can escalate the issue by opening an official "dispute case" with Tazzmar.
  • Step 3: Tazzmar's Intervention: Tazzmar will review the case, including communication records, tracking information, and any evidence provided by both parties. Tazzmar's decision in the case is final and binding on both the buyer and the seller.

6.3. General Return and Exchange Conditions

  • Return Timeframe: Buyers have the right to request a return within 30 days of the delivery date.
  • Condition of Returned Product: The product must be returned in the same condition it was received. If a buyer returns a product after using or damaging it, the seller has the right to deduct a percentage from the refund amount to compensate for the loss in the product's value, after providing proof to Tazzmar. This policy protects sellers from abuse of the return system.
  • Return Shipping Costs:
    • In SNAD cases (Seller's fault): The seller bears the return shipping costs.
    • In "change of mind" cases (Buyer's fault): The buyer bears the return shipping costs. Sellers may choose to offer free returns as part of their own policy.

6.4. Consumer Rights under Israeli and Palestinian Law

Tazzmar is committed to full compliance with consumer protection laws in all regions it serves.

  • Israeli Law (Remote Sales): This is a non-negotiable legal obligation. For transactions shipped to addresses in Israel, buyers have a legal right to cancel a "remote sale transaction" within 14 days from the date of receiving the product or the transaction details document (whichever is later), for any reason. The seller may charge a nominal cancellation fee (the lesser of 5% of the product's value or 100 NIS), unless the reason for cancellation is a defect in the product or it not matching the description, in which case no fee is charged. This period is extended to 4 months for senior citizens, new immigrants, and persons with disabilities. This legal right takes precedence over any other return policy of the platform.
  • Palestinian Law: The Palestinian Consumer Protection Law grants consumers the right to replace, repair, or return a product and receive a refund if it is defective or does not conform to the agreed-upon specifications. Tazzmar affirms this right and ensures its application through the Buyer Protection Program.

6.5. Non-Returnable Products

Unless they are defective, the following categories of products cannot be returned:

  • Products custom-made or personalized to the buyer's request.
  • Digital products (such as software or downloadable files).
  • Personal care and health products (for hygiene reasons).
  • Perishable goods (such as food items).

For increased transparency, the key timelines for the Buyer Protection Program are summarized in the following table:

7. Content and Intellectual Property Rights

7.1. User Content and License Granted to the Platform

When users post content on Tazzmar (such as product images, descriptions, reviews), they grant Tazzmar a non-exclusive, worldwide, royalty-free, perpetual license to use, copy, modify, distribute, and display this content. This license is necessary to enable Tazzmar to operate and promote the platform and the products listed on it. Users affirm and warrant that they own all necessary rights to the content they post and that this content does not infringe on the rights of any third party.

7.2. Policy for Reporting Intellectual Property Infringements

Tazzmar respects the intellectual property rights of others and expects its users to do the same. A formal procedure has been established to allow rights holders to report any alleged copyright or trademark infringements.

  • Notice and Takedown Procedure: If you believe that your intellectual property rights have been violated, please send a notice containing the following information to our designated IP agent:
    1. Identification of the copyrighted work or trademark that you claim has been infringed.
    2. Identification of the infringing material on the Tazzmar platform, with sufficient information to enable us to locate it.
    3. Your contact information (name, address, phone number, and email address).
    4. A statement that you have a good faith belief that the use of the complained-of material is not authorized by the rights owner, its agent, or the law.
    5. A statement, under penalty of perjury, that the information in the notification is accurate and that you are the rights owner or are authorized to act on their behalf.
  • Counter-Notice: If a seller believes their content was removed by mistake, they can submit a counter-notice explaining their reasons.
  • Repeat Infringer Policy: Tazzmar will adopt a strict policy of terminating the accounts of users who are found to be repeat infringers of intellectual property rights.

7.3. Use of Tazzmar's Trademarks

Users are prohibited from using the name "Tazzmar," its logos, trademarks, or any elements of its visual identity without prior written permission from the platform. Any unauthorized use constitutes an infringement of Tazzmar's intellectual property rights.

8. Prohibited Activities and Content

8.1. Prohibited Practices

To maintain the safety and integrity of the marketplace, all users are prohibited from engaging in the following activities:

  • Manipulating prices, reviews, or the platform's search algorithms.
  • Creating multiple accounts to circumvent restrictions, policies, or imposed sanctions.
  • Maliciously interfering with another user's listings or business.
  • Offering to buy or sell products listed on Tazzmar outside the platform to avoid paying commissions.
  • Using the platform for any illegal, fraudulent, or harmful purposes, or to post content that constitutes hate speech, discrimination, or violence.
  • Attempting to gain unauthorized access to the platform's systems or other users' data.

8.2. Prohibited Products and Services

It is strictly prohibited to list or sell any of the products listed in the table below. This list is not exhaustive, and Tazzmar reserves the right to remove any listing it deems inappropriate or in violation of the spirit of its policies. This list is based on international best practices and local legal restrictions, particularly those stipulated in the draft Palestinian E-Commerce Law.

9. Privacy Policy

Tazzmar is committed to protecting the privacy of its users. The following Privacy Policy, which is an integral part of this Agreement, provides a detailed explanation of how we collect, use, and protect your personal information.

9.1. Introduction

This policy describes our practices regarding the personal data we collect from users when they visit or use the Tazzmar platform. By using our services, you agree to the collection and use of your information in accordance with this policy.

9.2. Information We Collect

We collect different types of information to provide and improve our services:

  • Information you provide to us directly:
    • Registration and Profile Information: Name, email address, phone number, physical address, and (encrypted) password.
    • Verification Information: Identity documents, proof of address, and commercial registration information for sellers.
    • Transaction Information: Details of products purchased or sold, and shipping addresses. (Note: We do not store payment card details, as they are processed directly by our authorized payment service provider).
    • Communications: Any information you send us via the messaging system or customer support email.
  • Information we collect automatically:
    • Usage and Device Data: Internet Protocol (IP) address, browser type, operating system, pages you visit on the platform, and the time you spend on them.
    • Cookies: We use cookies and similar tracking technologies to enhance and personalize your experience and to analyze platform usage.

9.3. How We Use Information

We use the information we collect for the following purposes:

  • To provide and operate our services: To manage your account, process your transactions, and facilitate communication between buyers and sellers.
  • For security and fraud prevention: To verify user identities, monitor suspicious activities, and protect the integrity of the platform.
  • To communicate with you: To send transaction-related notifications, respond to your inquiries, and provide you with information about our services (with the option to unsubscribe from marketing messages).
  • For legal compliance: To adhere to legal and regulatory requirements and to enforce our terms of service.
  • For analysis and improvement: To understand how our services are used, improve the user experience, and develop new features.

9.4. Data Sharing with Third Parties

We do not sell your personal data. We may share your information only in the following specific cases:

  • With other users: We share the necessary information to complete a transaction, such as sharing the buyer's shipping address with the seller.
  • With service providers: We share data with third parties who help us operate our services, such as payment gateways, shipping companies, and marketing service providers. These providers are contractually obligated to protect your data and use it only for the purposes for which they were contracted.
  • For legal reasons: We may disclose your information if required to do so by law or in response to a valid legal request from government authorities or for law enforcement.
  • In case of a business transfer: In the event of a merger, acquisition, or sale of Tazzmar's assets, user data may be transferred as part of the transaction.

9.5. Data Security and Storage

We take reasonable technical and organizational security measures to protect your personal data from unauthorized access, loss, or destruction. These measures include encryption, firewalls, and access controls. We will retain your data as long as your account is active or as long as necessary to provide you with services or to fulfill our legal obligations.

9.6. User Rights

You have certain rights regarding your personal data, including:

  • The right to access and correct: You can access and update most of your personal information through your account settings.
  • The right to deletion: You can request the deletion of your account and personal data, subject to any legal obligations that may require us to retain certain information.
  • The right to restrict processing: You have the right to object to the processing of your data under certain circumstances.

9.7. Cookie Policy

We use cookies to improve website functionality and user experience. These include:

  • Essential Cookies: Necessary for the secure operation of the site (e.g., logging in).
  • Functional and Performance Cookies: Help remember your preferences and analyze site performance.
  • Advertising Cookies: Used to display ads more relevant to your interests.

You can control cookie settings through your browser, but disabling some may affect the site's functionality.

10. Disclaimer and Limitation of Liability

10.1. Disclaimer of Warranties

Tazzmar's services are provided "as is" and "as available" without any warranties of any kind, whether express or implied. Tazzmar expressly disclaims all warranties regarding the quality, safety, or legality of products listed by sellers, or the accuracy of user-generated content.

10.2. Limitation of Liability

To the fullest extent permitted by law, neither Tazzmar nor its officers or employees shall be liable for any indirect, incidental, special, or consequential damages (including loss of profits or data) arising from your use of, or inability to use, the platform. Our total liability to you for any claims arising under this agreement will be limited to the greater of (a) the total commissions you paid to us in the three months preceding the event giving rise to the claim, or (b) $100 USD.

10.3. Indemnification

Users agree to defend, indemnify, and hold harmless Tazzmar from any claims, damages, or losses (including legal fees) arising from or related to: (a) their violation of this Agreement, (b) their improper use of the Services, (c) the content they post, or (d) their violation of any law or the rights of a third party.

11. Dispute Resolution and Governing Law

11.1. Dispute Resolution with Tazzmar

  • Direct Communication: We encourage users to contact us first to resolve any dispute that may arise with the platform.
  • Binding Arbitration: For most disputes that cannot be resolved amicably, users and Tazzmar agree to resolve them through binding individual arbitration instead of in court. Arbitration is a more efficient and faster means of resolving disagreements. The arbitration body and applicable rules will be specified in an addendum to this Agreement.
  • Class Action Waiver: All parties agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

11.2. Applicable Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the applicable laws in Palestine. However, this clause is not intended to deprive consumers of the mandatory protection afforded to them by the consumer protection laws of their country. In particular, for transactions involving consumers residing in Israel, the mandatory provisions of the Israeli Consumer Protection Law will apply.

12. General Provisions

12.1. Amendments to the Terms

Tazzmar reserves the right to amend these terms at any time. Users will be notified of any material changes via email or through a prominent notice on the platform. Continued use of the platform after such changes constitutes agreement to the amended terms.

12.2. Communication and Notices

Users agree to receive official notices from Tazzmar electronically, either via the email registered with their account or through notices posted on the platform.

12.3. Severability

If any provision of this Agreement is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will remain in full force and effect.

12.4. Entire Agreement

This Agreement, together with all policies incorporated by reference, constitutes the entire and final agreement between the user and Tazzmar and supersedes all prior agreements and understandings.
